Terms of Service
These Terms of Service ("Terms") govern your use of the website gidopay.tech and any services provided by GIDOPAY LLC ("Company", "we", "us"). By accessing this site or engaging our services, you agree to these Terms.
1. Services
We provide AI automation services including, but not limited to, AI agent development, business process automation, SMM funnel implementation, and AI consulting. The specific scope, timeline, and deliverables for each engagement are set out in a separate written proposal or statement of work ("SOW").
2. Proposals and Acceptance
A contract for services is formed only when both parties have signed (electronically or physically) a SOW or proposal. Submitting the contact form on this website does not constitute a binding agreement — it initiates a consultation.
3. Payment
- Pricing is stated in USD unless otherwise specified in the SOW.
- Unless otherwise agreed, a 50% deposit is required before work begins; the remaining 50% is due upon delivery.
- Invoices are payable within 14 calendar days of issue.
- Late payments accrue interest at 1.5% per month.
- We reserve the right to suspend work on overdue accounts.
4. Intellectual Property
Upon receipt of full payment, ownership of custom-built deliverables (code, workflows, content) transfers to the client. We retain the right to use general-purpose tools, libraries, and methodologies in future projects.
Pre-existing intellectual property of either party remains with its original owner. Third-party tools and APIs used in the engagement are subject to their own licensing terms.
5. Client Responsibilities
You agree to:
- Provide timely access to systems, credentials, and information we need to deliver services.
- Designate a point of contact with authority to make decisions.
- Not use our services for unlawful, deceptive, or harmful purposes.
6. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability for any claim arising from the services shall not exceed the amount paid by you for the specific service giving rise to the claim in the three months preceding the claim.
We are not liable for indirect, incidental, special, or consequential damages (including lost profits or data) even if advised of the possibility.
7. Warranties and Disclaimers
We warrant that services will be performed with reasonable skill and care. The website and all content are provided "as is" without warranty of any kind. We do not guarantee specific business outcomes (revenue, follower growth, lead volume) from AI automation implementations.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement and not to disclose it to third parties without prior written consent. This obligation survives termination for 3 years.
9. Termination
Either party may terminate a SOW with 14 days' written notice. In case of termination, you owe payment for work completed to date. We will deliver all completed work product upon receipt of final payment.
10. Governing Law and Disputes
These Terms are governed by the laws of US, Nevada. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under applicable rules in US, Nevada.
11. Changes to These Terms
We may update these Terms at any time. The "Effective date" at the top reflects the latest version. Continued use of our services after changes constitutes acceptance of the updated Terms.
